Merchant Terms of Service

1. Acceptance of Terms and Conditions

1.1 These terms and conditions (“Agreement”) govern your participation in and use of the Merchant's Subscription Program, available for enrollment on the Merchant's website or app (the "Subscription"). The term "Merchant" herein shall refer to the entity or business entity that offers the Subscription services facilitated through the Subport software, hereinafter referred to as the "Merchant." Each utilization of the Subscription by the Merchant signifies their explicit agreement to be bound by the terms set forth in this Agreement. Failure to accept these terms obligates the Merchant to discontinue the use of the Subscription and effectuate the termination of the Subscription services.


2. Your Subscription

2.1. By registering for the Subscription, you agree to provide true, accurate, and current information about yourself. If you provide information that is untrue, inaccurate, not current, or incomplete, or if we have reasonable grounds to suspect that you have, or you violate this Agreement, as determined in our sole discretion, we have the right to suspend or terminate your Subscription and refuse any and all current or future use of the Subscription. Without limitation of the foregoing, we reserve the right to reject any Subscription application in our sole discretion.

3. Subscription Benefits

3.1. When you submit your card, you will be charged the amount and receive the benefits specified on the Merchant's site. We reserve the right at any time and in our sole discretion to verify a subscriber's eligibility and compliance with this Agreement. The Merchant reserves the right to update, change, modify, or terminate the Subscription benefits at any time, in its sole discretion.

4. Recurring Billing

4.1. By enrolling in the Subscription, you authorize the Merchant to charge your Payment Method on a recurring basis, which may be weekly or monthly, as specified during your Subscription enrollment (the “Billing Cycle”), beginning on the day you start your Subscription and every Billing Cycle thereafter until you cancel or the Merchant suspends, ends, or otherwise terminates your access to the Subscription, which it may do at any time. You hereby accept responsibility for all recurring charges made to your Payment Method prior to cancellation or termination. Unless you cancel, your Subscription will be automatically extended for successive Billing Cycles at the then-current Subscription rate.

5. Charges to Your Payment Method

5.1. The Merchant charges you for your Subscription using the Payment Method you provide at the time of enrollment. By enrolling in the Subscription, you authorize the Merchant to charge your Payment Method the recurring Subscription fee. Your Subscription provides you the opportunity to use Subscription benefits, and your non-use will not obligate the Merchant to provide you with any refund, in whole or part, of your recurring Subscription fee. You remain responsible for any uncollected amounts. If a payment is not successfully settled, due to expiration, insufficient funds, or otherwise, and you do not cancel your Subscription, we may suspend your access to the Subscription until we have successfully charged a valid Payment Method.

6. Changes or Cancellation

6.1. To change or cancel your Subscription at any time, sign in to your Merchant account and follow the instructions. You can also email the Merchant’s service provider at team@subport.us to cancel your Subscription. Your cancellation request must be submitted before the start of the next Billing Cycle. In such an event, you will not be entitled to a prorated refund of any unused portion of the recurring Subscription fee.

7. Change in Amount Authorized

7.1. If the amount to be charged to your Payment Method varies from the current rate set forth in your initial offer due to an increase in our current rates (other than due to the imposition or change in the amount of state sales taxes), the Merchant shall provide notice of the amount to be charged and the date of the charge at least fourteen (14) days before the scheduled date of the transaction. You agree that the Merchant may accumulate charges incurred and submit them as one or more aggregate charges during or at the end of each billing cycle.

By enrolling in the Merchant's Subscription Program, you acknowledge that you have read, understood, and agreed to these Terms and Conditions. If you do not agree with any of these terms, please refrain from using our Subscription service.

These Terms and Conditions are subject to change, and any updates will be posted on our website or app. It is your responsibility to review them periodically for any changes.

8. Termination of Subscription by Merchant

8.1. The Merchant reserves the right to terminate a customer's subscription for any reason, including but not limited to violation of these Terms and Conditions, fraudulent activity, or any actions that may harm the reputation of the Merchant's Subscription Program. In such cases, the customer will receive notice of termination, and any outstanding fees will be forfeited.

9. Modification of Terms

9.1. The Merchant reserves the right to modify these Terms and Conditions at any time, and the updated terms will become effective upon posting on the Merchant's website or app. Merchants will be notified of any material changes to these terms. It is the merchant's responsibility to review and accept the updated terms to continue using the Subscription.

10. Liability and Indemnification

10.1. Subport shall not be liable for any damages, losses, or liabilities incurred by the merchant or any third party arising from the use of the Subport Subscription service. You agree to indemnify and hold Subport harmless from any claims, damages, or legal actions arising out of their participation in the Subscription Program of the merchant.

11. Dispute Resolution

11.1. In the event of any disputes or disagreements between the customer and the Merchant regarding the Subscription Program or these Terms and Conditions, both parties agree to attempt to resolve the matter through good-faith negotiations. If a resolution cannot be reached, the parties may pursue legal remedies as applicable under the law.

12. Governing Law and Jurisdiction

12.1. These Terms and Conditions shall be governed by and construed in accordance with the laws of of the merchant's State. Any disputes arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of the Merchant's State.
